1. Services

Omni Eclipse provides AI search visibility services, including but not limited to:

• AI search audits analysing brand visibility across AI platforms (ChatGPT, Google AI Overviews, Perplexity, Gemini, Claude, and others)
• Implementation of optimisation strategies, including content creation and publishing
• Ongoing monitoring and reporting

The specific scope of your engagement is determined by the plan you subscribe to.

2. Free tools

Omni Eclipse offers free tools on this website that use third-party APIs and publicly available data. Results from these tools may contain inaccuracies and should be independently verified. They are provided for informational purposes only and do not constitute professional advice.

3. User obligations

You agree to provide accurate, current, and complete information during onboarding and throughout your engagement. You are responsible for ensuring your team complies with internal policies regarding AI tool usage.

4. Billing and cancellation

4.1. Subscription plans are billed monthly via Stripe. Your first payment is charged when you subscribe. Subsequent payments are charged on the same date each month.

4.2. Fees are exclusive of applicable taxes. You are responsible for any taxes in your jurisdiction.

4.3. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — you will not be charged again, and you retain access to the service through the remainder of the period you have already paid for.

5. 90-day visibility guarantee

5.1. Omni Eclipse guarantees that your brand will achieve AI search visibility for three (3) prompts within 90 days of your subscription start date.

5.2. “Visibility” means your brand has been mentioned, cited, or recommended in at least one AI search response for each of the three guaranteed prompts, where it was not present at the time of your initial audit.

5.3. At the start of your engagement, Omni Eclipse conducts an initial audit to establish your baseline AI search visibility. This audit serves as the benchmark for measuring progress. Omni Eclipse will notify you when visibility has been achieved.

5.4. If, after the full 90-day period, visibility has not been achieved and you wish to cancel, you may request a refund within 14 days of the 90-day mark. Upon approval, Omni Eclipse will refund all monthly service fees you have paid.

5.5. To request a refund under this guarantee, email contact@omnieclipse.ai within the 14-day window, stating that visibility was not achieved. Omni Eclipse will verify the claim against its tracking data and process the refund within 14 business days.

6. AI platform disclaimer

6.1. AI search platforms are operated by third parties. They change their algorithms, data sources, and behaviour without notice.

6.2. AI search visibility can fluctuate. Omni Eclipse does not guarantee specific rankings, citation frequency, or permanent placement in any AI platform. The 90-Day Visibility Guarantee in Section 5 applies as stated.

6.3. AI outputs can occasionally be inaccurate or biased. Omni Eclipse implements quality safeguards but does not guarantee the 100% accuracy of AI-generated content or search results.

7. Client responsibilities

7.1. You will provide access to existing brand assets, listings, and content as reasonably needed for the service.

7.2. You will review and approve content within five (5) business days of submission. If approval is not received within this period, Omni Eclipse may publish content as submitted.

7.3. Delays caused by you (including delayed access, approvals, or feedback) do not constitute a failure to deliver on Omni Eclipse's part and do not extend timelines, activate the 90-Day Visibility Guarantee refund, or reduce fees.

8. Intellectual property

8.1. Content created specifically for your engagement (articles, guides, and other published materials) becomes your property upon full payment for the period in which it was created.

8.2. Omni Eclipse's proprietary frameworks, tools, methodologies, monitoring systems, prompt libraries, and internal processes remain the exclusive property of Omni Eclipse and are not transferred.

9. Limitation of liability

9.1. Omni Eclipse's total aggregate liability under these Terms shall not exceed the total fees you have paid under your subscription.

9.2. Neither party is liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption, even if advised of the possibility.

9.3. Omni Eclipse is not liable for the removal or moderation of content by third-party platforms, or for changes to third-party AI platform algorithms, policies, or availability.

10. Data protection

Omni Eclipse treats all client data as confidential, processes it only for delivering the services, and implements reasonable security measures. In the event of a data breach affecting your data, Omni Eclipse will notify you within 72 hours. For full details, see our Privacy Policy.

11. Force majeure

Neither party is liable for delays or failures caused by events outside their reasonable control, including changes to AI platform algorithms or policies, natural disasters, government actions, pandemics, internet disruptions, and similar events.

12. Termination

Omni Eclipse may suspend or terminate your access to the service without notice for conduct that violates these Terms or is harmful to other users, Omni Eclipse, or third parties.

13. Governing law

13.1. These Terms are governed by the laws of the Dubai International Financial Centre (DIFC).

13.2. Any disputes will first be addressed through good-faith negotiation for 21 days. If unresolved, disputes will be settled by arbitration under DIAC rules in Dubai, UAE, in English, with one arbitrator. The award is final and binding.

14. Changes to these terms

Omni Eclipse may update these Terms from time to time. Material changes will be communicated via email to active subscribers. Continued use of the service after notice constitutes acceptance.
